Form a LLC - Limited Liability Company

Forming a LLC, limited liability company, requires the filing of Articles of Organization. Form a LLC for limited liability protection and pass-through taxation. Though income or loss is passed thru to the members, LLC formation still requires a tax return be filed by the LLC.

To form a LLC, articles of organization or a certicate of organization must be filed with the appropriate state office. Creating and filing the organizational business forms begins the legal existence of the LLC.

Prior to starting business operations an operating agreement should be completed by the members. The LLC operating agreement is an agreement between the members that sets forth the rules for running the LLC and the rights of members.
